Terms of Service & Governance Framework

These terms constitute a legally binding agreement between GetScholr (Pty) Ltd, the Client (Parent/Institution), and the Academic Mentor.

01. Definitions & Scope

1.1 "Scholr" refers to GetScholr (Pty) Ltd (Reg: 2025/894953), acting as the Mandatary and Introduction Agent.

1.2 "The Mentor" refers to the tutor/academic coach approved by Scholr's vetting process.

1.3 "The Client" refers to the Parent, Legal Guardian, or Educational Institution engaging the services.

1.4 "Nature of Relationship": Scholr acts as an agent to facilitate the match. Scholr is not the employer of the Mentor, and the Mentor operates as an independent contractor under Scholr’s governance framework.

02. Non-Circumvention & Disintermediation

2.1 The "Scholr Network" Protection

Scholr invests significant capital into the recruitment, vetting (SAPS/Academic), and management of its Mentor Network. The Client acknowledges that the introduction to the Mentor is proprietary to Scholr.

2.2 Prohibition of Direct Engagement

Clients and Mentors are strictly prohibited from entering into private arrangements, "cash-in-hand" payments, or direct employment relationships that exclude Scholr, for a period of 12 months following the termination of their last session.

2.3 Penalty Clause

In the event of a breach of Clause 2.2, the breaching party shall be liable for:

  • An immediate contractual penalty of R50,000.00 (Fifty Thousand Rand).
  • Payment of all legal costs on an attorney-and-client scale.
  • Permanent blacklisting from the Scholr network and affiliated school partners.

03. Intellectual Property & Resources

3.1 Scholr Proprietary Content

All methodologies, matching algorithms, platform code, and original educational content (including "Scholr Worked Solutions", "Scholr Study Guides", and video content) remain the sole property of GetScholr (Pty) Ltd. Users are granted a limited, non-transferable license to use these materials for personal study only.

3.2 Third-Party Exam Materials

Scholr may host or link to past examination papers (e.g., IEB, DBE). Scholr makes no claim of ownership over these third-party materials. Access fees charged by Scholr are exclusively for the curation, organization, and provision of proprietary worked solutions/explanations accompanying these papers, not for the papers themselves.

3.3 User Restrictions

Users are strictly prohibited from redistributing, selling, or sharing login credentials to Scholr's resource libraries. Detection of concurrent logins or abnormal download activity will result in immediate account termination without refund.

04. Financial Terms

4.1 Payment Protocol: All payments must be processed via the Scholr Portal. Mentors are not authorized to accept cash.

4.2 Cancellation Policy: Cancellations made less than 24 hours before a scheduled session will be charged at 100% of the session fee. Cancellations made prior to 24 hours incur no penalty.

4.3 Refunds: In alignment with the Consumer Protection Act (CPA), refunds for prepaid credits are available upon request, less a 15% administration fee, provided the credits have not been utilized.

05. Liability & Indemnity

5.1 Limitation of Liability: While Scholr conducts rigorous vetting, Scholr acts as an intermediary. Scholr is not liable for any direct, indirect, or consequential damages arising from the conduct of a Mentor or Client, nor for academic results.

5.2 Academic Guarantee: Scholr provides support and mentorship but does not guarantee specific grades or university acceptance.

5.3 Indemnification: The Client agrees to indemnify GetScholr (Pty) Ltd against any claims, losses, or damages arising from the Client's violation of these Terms.

06. Data Privacy (POPIA)

Scholr is committed to protecting your personal information in accordance with the Protection of Personal Information Act (POPIA).

  • Consent: By using the platform, you consent to the processing of your data for the purpose of academic matching.
  • Minors: Data regarding minors is treated with the highest level of security and is never shared with third-party advertisers.
  • Retention: We retain vetting documents (ID, Transcripts) in encrypted storage for regulatory compliance.

07. Jurisdiction

These Terms shall be governed by the laws of the Republic of South Africa. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the Magistrates' Court of Johannesburg or Cape Town.
